1. Agreement to Terms

By accessing or using the website at bidwritebuddy.com or engaging BidWriteBuddy's services (operated by Luxton Logical LLC, "Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Description

BidWriteBuddy provides federal contracting consulting services including, but not limited to: government proposal writing, SAM.gov registration assistance, bid strategy consulting, SDVOSB/WOSB certification support, and related federal acquisition advisory services. All services are provided on a consulting basis and do not constitute legal advice or guarantee contract awards.

3. No Guarantee of Contract Award

While BidWriteBuddy strives to produce the highest-quality proposals and provide expert guidance, we make no guarantee that any proposal submitted will result in a contract award. Government contract awards are determined by federal agencies based on their evaluation criteria, budget availability, and other factors outside our control. Past performance does not guarantee future results.

4. Payment Terms

Payment for services is due as outlined in your service agreement or at the time of purchase via our payment processor (Square). All fees are non-refundable unless otherwise specified in a written service agreement. For monthly retainer programs, the following terms apply:

• Monthly retainer fees are billed in advance at the start of each billing cycle.
• A minimum engagement period of 3 months applies to all retainer programs.
• Cancellation after the minimum engagement period requires 30 days written notice.
• Performance-based fees (where applicable) are due upon contract award notification.

5. Client Responsibilities

To enable us to provide services effectively, you agree to:

• Provide accurate, complete, and timely information about your business, capabilities, and past performance.
• Review and approve all proposals and submissions before they are submitted to government agencies.
• Maintain an active and accurate SAM.gov registration (or engage us to do so on your behalf).
• Respond to our requests for information within agreed-upon timeframes to avoid missing bid deadlines.
• Ensure that all information provided to us is truthful and does not misrepresent your company's qualifications.

6. Intellectual Property

All proposals, templates, strategies, and written materials produced by BidWriteBuddy on your behalf become your property upon full payment. Our proprietary methodologies, frameworks, and internal processes remain the intellectual property of Luxton Logical LLC. You may not resell or distribute our work product to third parties without written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary business information shared during the course of the engagement. We will not disclose your business information, pricing, or contract details to third parties without your written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Luxton Logical LLC and BidWriteBuddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities, arising out of or related to our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless BidWriteBuddy and Luxton Logical LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your misrepresentation of business information.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Charleston County, South Carolina.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.
